Member Agreement

Member Agreement, Terms of Use, and Telehealth Consent

By using CompassionMD™, creating an account, or clicking “I Agree,” you confirm that you have read and agree to this Member Agreement, Terms of Use, and Telehealth Consent. If you do not agree, do not use this service. You must be at least 18 years of age, or have a parent or legal guardian accept these Terms on your behalf. Provider Identity

CompassionMD™ is a subscription-based membership and administrative service offered by Compassion MD, Inc., a Wyoming corporation. Clinical services are provided by licensed physicians of CareClix Network PA, an independent physician-owned professional association. CareClix Services, LLC provides technology and administrative support services. None of these administrative entities practice medicine or control or interfere with the independent clinical judgment of any treating physician. Members are matched with a physician licensed in the state where the member is located at the time of care.

Scope of Services

Your membership provides access to telehealth consultations for urgent care, medical guidance, second opinions, mental health support, and specialist services as described on our website. CompassionMD™ is not a substitute for emergency care, a primary care physician, or ongoing management of complex chronic conditions without appropriate referral. Your physician may recommend in-person care, specialist referral, or emergency services when clinically appropriate. CompassionMD™ does not prescribe controlled substances under any circumstances.

Not Insurance

CompassionMD™ is not health insurance and does not satisfy any insurance mandate, minimum essential coverage requirement, or similar obligation under federal or state law. Your membership does not guarantee payment for hospitalizations, surgeries, diagnostic imaging, laboratory services, or any care obtained outside of the CompassionMD™ platform. You remain responsible for all other medical expenses.

Telehealth Informed Consent

By using CompassionMD™, you consent to receive healthcare services through telemedicine. Telehealth care is voluntary. You have the right to request in-person care instead, and choosing telehealth will not affect your eligibility for other care or benefits.

Telehealth has inherent limitations: some conditions cannot be adequately assessed remotely, and your physician may recommend in-person care when clinically appropriate. Before each visit, you will be informed of the treating physician’s name, credentials, and state of licensure. All HIPAA protections that apply to in-person healthcare apply equally to your telehealth visits. Providers are licensed in the state where you are located at the time of service, and not all services may be available in every state.

Telehealth is not for emergencies. If you are experiencing a medical emergency, call 911 immediately. For mental health crises, call or text 988 (Suicide and Crisis Lifeline). You may withdraw your telehealth consent at any time by contacting support@compassionmd.com. Please ensure that all information you share with your provider is accurate and complete.

Doctor–Patient Relationship

A doctor-patient relationship is established only when a licensed physician of CareClix Network PA performs a documented telehealth visit in accordance with applicable state law. Viewing website content, reading educational materials, or communicating with Affiliates does not create a doctor–patient relationship.

Independent Clinical Judgment

All medical decisions, including whether to prescribe medication, are made by the treating physician in the exercise of independent professional judgment. A physician is not obligated to prescribe any medication or treatment because you request it. A physician’s clinical decision not to prescribe is not grounds for a refund, complaint, or claim against CompassionMD™ or CareClix Network PA.

Mental Health Services

Mental health consultations are available as part of your membership. These consultations are not a substitute for ongoing psychiatric care, inpatient treatment, or crisis intervention. If you are experiencing a mental health crisis, call or text 988 (Suicide and Crisis Lifeline) or call 911. If your physician determines during a consultation that your needs exceed the scope of telehealth-based support, you will be referred to appropriate in-person or specialized care.

Membership, Billing, and Cancellation

CompassionMD™ offers subscription-based membership plans. Your membership is a recurring monthly subscription charged at $9.99/month (individual) or $29.99/month (household). There are no additional per-visit fees.

Household is defined as members sharing the same residential address.

You will be charged automatically each month until you cancel. You may cancel at any time by phone, emailing support@compassionmd.com, or through your member account portal. Cancellation takes effect at the end of the current billing period. Fees are billed in advance and are non-refundable except at the sole discretion of CompassionMD™, in instances of documented service unavailability, or as required by applicable law.

By providing your payment information, you authorize CompassionMD™ or its billing partners to charge the applicable fees for your plan. CompassionMD™ reserves the right to modify fees or services with thirty (30) days’ written notice.

Acceptable Use

You agree to: provide accurate and complete health information to your physician; maintain the security of your account credentials; and use the platform only for lawful healthcare purposes.

You agree not to: engage in abusive, threatening, or harassing conduct toward any physician or staff member; provide false or misleading medical history; seek prescriptions for controlled substances or for individuals not covered by your membership; record any consultation without the prior consent of the physician; use the service as a substitute for emergency care; or use the service for any unlawful purpose.

Suspension and Termination by CompassionMD

We may suspend or terminate your membership, with or without notice, for: violation of the Acceptable Use terms above; abusive or threatening conduct toward any physician or staff member; providing false or misleading information during registration or care; initiating a chargeback or payment dispute without first contacting us; non-payment after failed billing attempts; or any other conduct that, in our reasonable judgment, endangers the safety of physicians, staff, or other members.

If we terminate your membership, any unused portion of your current billing period is non-refundable except as required by applicable law. Termination of your membership does not affect your right to request your medical records or our obligation to retain them as required by law.

Records After Termination

Your medical records are maintained by CareClix Network PA in accordance with applicable state and federal retention requirements regardless of whether your membership is active. You may request a copy of your records at any time by contacting support@compassionmd.com. Termination of your membership does not terminate any duty of care arising from a consultation that occurred while your membership was active; your physician will provide appropriate follow-up instructions or referrals before concluding care.

Patient Safety and Fair Care

Clinical standards for care delivered through CompassionMD™ are established and enforced by the Medical Director and physician leadership of CareClix Network PA. The Patient Safety and Fair Care Council operates under that clinical leadership to monitor quality, review member feedback, and recommend improvements. Administrative entities do not set or override clinical standards.

Members may submit complaints or concerns through the message center or by emailing support@compassionmd.com. All submissions are reviewed, and corrective actions are taken when appropriate. If you have concerns about the care you received, you may also contact the relevant state medical board.

Communications

By providing your contact information, you consent to receive service-related and promotional messages from CompassionMD™. By providing your phone number, you consent to receive autodialed or prerecorded service-related calls and text messages at that number. Consent to marketing communications is not a condition of service or purchase. You may opt out at any time by replying STOP to any text or using the unsubscribe link in any email. Standard message and data rates may apply.

Consumer Health Data

In addition to Protected Health Information governed by HIPAA, our website and enrollment process may collect consumer health data as defined by Washington’s My Health My Data Act and similar state laws. Where required, we obtain your affirmative consent before collecting or sharing such data. No Warranties and Limitation of Liability

CompassionMD™ provides access to licensed independent physicians but does not guarantee any specific medical outcome. Services are provided as-is and as-available. We make no warranties, express or implied, regarding accuracy, completeness, merchantability, or fitness for a particular purpose. To the fullest extent permitted by law, neither CompassionMD™ nor CareClix Network PA shall be liable for indirect, incidental, or consequential damages arising from your use of the platform. Nothing in this section limits liability for gross negligence or willful misconduct.

Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Florida without regard to conflicts of law. If you have a concern, please contact us first at support@compassionmd.com so we can try to resolve it informally.

If we cannot resolve a dispute informally, disputes will be settled by binding arbitration under the rules of the American Arbitration Association in Florida. You waive the right to participate in any class action. You may opt out of arbitration within 30 days of accepting this Agreement by emailing support@compassionmd.com with the subject line “Arbitration Opt-Out.”

Modifications

CompassionMD™ may update this Agreement from time to time. When we do, we will post the updated version with a new revision date and notify you by email or through the member portal. Your continued use of CompassionMD™ after changes take effect means you accept the updated terms.

State-Specific Notices

Florida

Clinical services through CompassionMD™ are provided by physicians of CareClix Network PA, a professional association organized under Chapter 621 of the Florida Statutes and registered with the Florida Department of Health. Complaints about physicians may be reported to the Florida Department of Health, Division of Medical Quality Assurance, 4052 Bald Cypress Way, Tallahassee, FL 32399. Toll-free: 1-888-419-3456. Online: www.flhealthcomplaint.gov.

Texas

NOTICE CONCERNING COMPLAINTS: Complaints about physicians, as well as other licensees of the Texas Medical Board, may be reported for investigation at: Texas Medical Board, Attention: Investigations, 1801 Congress Avenue, Suite 9.200, P.O. Box 2018, Austin, Texas 78768-2018.

For Texas residents: With your consent, we will provide a report of your visit to your primary care physician. If your provider determines your condition requires in-person follow-up, you will be provided with specific instructions on how to obtain that care.

California

NOTICE CONCERNING COMPLAINTS: Complaints about physicians and other licensed healthcare providers may be reported to the Medical Board of California, Central Complaint Unit, 2005 Evergreen Street, Suite 1200, Sacramento, CA 95815-5401. Toll-free: 1-800-633-2322. Online: www.mbc.ca.gov.

For California residents: Your use of telehealth services through CompassionMD™ is voluntary. You have the right to withdraw your consent to receive services via telehealth at any time without affecting your right to receive care through other means. In-person healthcare services are available as an alternative to telehealth. If your provider determines that in-person follow-up is needed, you will be referred accordingly. All California laws regarding the confidentiality of your health information and your rights to your medical records apply equally to telehealth interactions. The same standard of care applies whether your care is delivered via telehealth or in person.
