1. Definitions & General Terms

For purposes of this document:

“CompassionMD™,” “we,” “us,” or “our” refers to Compassion MD, Inc., a Wyoming corporation, which provides the administrative membership platform. Clinical services delivered through CompassionMD™ are provided by licensed physicians of CareClix Network PA, an independent physician-owned professional association. CareClix Services, LLC provides technology and administrative support services. None of these administrative entities practice medicine or direct clinical care.


“Member” or “Subscriber” refers to any individual or household enrolled in CompassionMD™.


“Affiliate,” “Sales Agent,” or “Independent Account Executive” refers to individuals or entities who market or refer new subscribers to CompassionMD™ under our affiliate program.


2. General Disclaimer

CompassionMD™ is a subscription-based membership that connects individuals and families with licensed physicians of CareClix Network PA for telehealth consultations, including urgent care, medical guidance, second opinions, mental health support, and specialist services. 

Members are matched with a physician licensed in their state at the time of care. Membership is $9.99/month (individual) or $29.99/month (household, defined as members sharing the same residential address). There are no per-visit fees. CompassionMD™ does not replace your primary care physician, health insurance, or emergency services. Our services are not health insurance and do not guarantee payment for hospitalizations, surgeries, or other major medical expenses.

3. Medical Disclaimer / Health Information Disclaimer

Informational Purposes Only: The information, services, and advice provided through CompassionMD™ are for educational and guidance purposes only and are not a substitute for in-person care where clinically necessary.


No Guaranteed Outcomes: CompassionMD™ does not guarantee any specific diagnosis, treatment outcome, or result. Individual results vary.


Prescriptions: Prescriptions are provided solely at the discretion of the licensed physician. Controlled substances will not be prescribed under any circumstances.


Emergency Situations: If you are experiencing a medical emergency or believe you have a life-threatening condition, call 911 or go to the nearest emergency department immediately. Do not use CompassionMD™ for emergency care.


Medical Content Accuracy: Health information and educational materials may not reflect the most current research or clinical guidelines.


4. Doctor–Patient Relationship

A doctor-patient relationship is established only when a licensed physician of CareClix Network PA performs a documented telehealth visit in accordance with applicable state law. Viewing website content, reading educational materials, or communicating with Affiliates does not create a doctor-patient relationship.

5. Affiliate, Referral & Sales Agent Disclosure

CompassionMD™ operates an independent affiliate program for individuals who refer new subscribers.

Independent Contractor Status: Affiliates are independent contractors, not employees or agents of CompassionMD™. They may not act as medical representatives.


Compliance Requirements: Affiliates must follow CompassionMD™’s Policies & Procedures, marketing guidelines, and approved language when promoting CompassionMD™ services.


No Medical Advice: Affiliates are prohibited from giving medical advice of any kind. All medical questions must be directed to CompassionMD™’s licensed providers.


Income Disclosure: Earnings from referrals are not guaranteed and depend on individual effort, referrals, and customer retention. Results vary.


Tools Provided: Affiliates receive a replicating website, back-office tracking tools, access to professional services, and a built-in payment system to manage referrals and commissions.


6. FTC & Advertising Compliance

In compliance with Federal Trade Commission (FTC) guidelines:

Affiliates must clearly disclose that they receive compensation for referrals.


Marketing must be truthful, accurate, and non-deceptive.


Any references to subscription pricing must reflect actual costs ($9.99/month individual, $29.99/month household). There are no additional per-visit fees.


Income claims must include appropriate disclaimers that results vary, and no earnings are guaranteed.


7. Testimonials & User Feedback

Physician endorsements featured on our website reflect the individual professional opinions of the quoted physicians. These physicians are not employees of Compassion MD, Inc. and have no current financial relationship with the company. Any member testimonials represent individual experiences; results vary for each member and are not guaranteed.

8. Third-Party Content & Links

CompassionMD™ may reference third-party products, services, or websites. These references do not imply endorsement. We are not responsible for the content, availability, or performance of third-party sites or services.

9. State & Regulatory Restrictions

Certain services may not be available in all states due to telehealth regulations, licensing requirements, or other legal restrictions. We design our services to meet applicable federal and state telemedicine, privacy, and consumer-protection requirements, and we update our practices as those requirements change. Members are matched with a physician licensed in their state.

10. Privacy & Data Protection

We safeguard member health information in accordance with HIPAA and applicable state privacy laws. In addition to information collected during clinical care, our website and enrollment process collect certain identifiers, including those used by our affiliate referral program. Where required by Washington’s My Health My Data Act, Nevada’s consumer health data law, or similar state laws, we obtain your affirmative opt-in consent before collecting or sharing consumer health data that is not strictly necessary to provide the services you requested. Our Consumer Health Data Privacy Notice, linked separately from our general Privacy Policy, describes what we collect, why, and who receives it. We maintain administrative, technical, and physical safeguards for your information. In the event of a breach of unsecured health information, we will provide notice as required by HIPAA and the FTC Health Breach Notification Rule. A copy of our HIPAA Notice of Privacy Practices is available upon request.


11. No Warranties & Limitation of Liability

CompassionMD™ services are provided “as-is” and “as available.”


We make no warranties, express or implied, regarding accuracy, completeness, merchantability, or fitness for a particular purpose.


To the fullest extent permitted by law, CompassionMD™ disclaims liability for indirect, incidental, or consequential damages arising from the use of our services or website.


12. Subscription, Billing & Cancellation Policy

Your CompassionMD™ membership is a monthly recurring subscription. You will be charged $9.99/month (individual) or $29.99/month (household) automatically each month until you cancel. You may cancel at any time by phone, your member account portal, or by emailing support@compassionmd.com. Cancellation takes effect at the end of the current billing period. Fees are billed in advance and are non-refundable except as required by applicable law. We reserve the right to modify fees or services with thirty (30) days’ written notice.


13. Patient Safety and Fair Care Council

CompassionMD™ maintains a Patient Safety and Fair Care Council

Oversight: Clinical standards for care delivered through CompassionMD™ are established and enforced by the Medical Director and physician leadership of CareClix Network PA. The Patient Safety and Fair Care Council operates under that clinical leadership to monitor quality, review member feedback, and recommend improvements.


Member Feedback: Members may submit complaints or concerns through the message center or emailing support@compassionmd.com.


14. Modification of Terms

We may update these Disclaimers & Disclosures from time to time. We will notify members of material changes by email or through the member portal. Continued use of the services after notice constitutes acceptance of the revised terms.

These disclaimers are governed by the laws of the State of Florida without regard to conflicts of law. Disputes shall be resolved under the dispute resolution process described in CompassionMD’s Member Agreement

Telehealth care through CompassionMD™ is voluntary. You have the right to request in-person care instead, and choosing telehealth will not affect your eligibility for other care or benefits. Telehealth has inherent limitations: some conditions cannot be adequately assessed remotely, and your physician may recommend in-person care when clinically appropriate. Before each visit, you will be informed of the treating physician’s name, credentials, and state of licensure. Telehealth is not for emergencies. If you have a medical emergency, call 911 or go to the nearest emergency department. You may withdraw consent to telehealth at any time. If you have concerns about the care you received, you may contact the relevant state medical board.
